Registering with SARS

While South Africa does not mandate the appointment of a local director, foreign investors often find that having a local director streamlines operations and meets business needs until the company is fully operational.​

The Companies Act 71 of 2008 requires that a company have a resident individual appointed as the local representative of a foreign company responsible for accepting service on behalf of the company.

SARB regulations require non-resident shareholders to obtain a “non-resident” endorsement on their share/stock certificates. The South African Reserve Bank (SARB) regulations provide that within 30 days of a non-resident person or company acquiring ownership of shares in a resident South African company, that person must submit those shares to an authorised dealer for a non-resident endorsement.

 

If, in the event that the share certificates were not endorsed within the prescribed timeframes, this would constitute a contravention. Our specialist team can assist with the remedying of the contravention with SARB.
